Terms and Conditions

Terms and Conditions of Mood Global Services B.V.
Please read these terms carefully before using our services.

1. Introduction

1 https://moodglobalservices.com (the ā€œSiteā€) is managed by MOOD GLOBAL SERVICES B.V.. Use of the Site is subject to these conditions of use (ā€œConditions of Useā€). If you (ā€œUserā€) do not intend to accept the Conditions of Use, you must immediately stop navigating the Site. By accessing and using the Site, the User accepts the Terms of Use. The Conditions of Use constitute a contract between the user and MOOD GLOBAL SERVICES B.V. and may not be modified without the consent of MOOD GLOBAL SERVICES B.V.. These Conditions of Use must be read with reference to every part of the Site concerning the operation of the Site itself and the services available.

2. Users are required to read the Privacy Policy and Cookie Policy of MOOD GLOBAL SERVICES B.V.

3 For the purposes of these Terms and Conditions, the following definitions shall apply:

'AI Tools' or 'AI Agents' means any software, model, system, automation or third‑party service based on artificial intelligence used by MOOD GLOBAL SERVICES B.V. to provide its services, including but not limited to automation of content publishing, video editing support, CRM workflows and data analysis.

Autopublishing Servicesā€ means the programming and automated publishing of content on the Client’s or User’s social media channels or digital platforms carried out through AI Tools, APIs or third‑party automation services.

Third‑Party Servicesā€ means any platform, infrastructure or tool provided by third parties and used by MOOD GLOBAL SERVICES B.V. to deliver its services, including, by way of example, social media platforms, CRM systems (such as Notion), automation platforms (such as Make or Zapier), hosting providers (such as Vercel) and AI service providers.

4. MOOD GLOBAL SERVICES B.V. reserves the right to modify the Conditions of Use at any time and unilaterally without prior notice. All modifications will be published on the Site.

2. Site Access

1. MOOD GLOBAL SERVICES B.V. does not guarantee the User against any inefficiencies consisting of delays or interruptions in line operation that prevent access to the Site. The User is obliged not to interfere with the operation of the Site and, in particular, agrees not to attempt to circumvent its security, tamper with it, hack into it, or in any case not to prejudice the operation of the Site or any computer system, server, router or any other computer device in any way.

2. The User must have a computer that meets all the technical features required to use the Site and that is compatible with the Site. MOOD GLOBAL SERVICES B.V. also cannot guarantee and does not guarantee that any content on the Site is free of infection, viruses and/or other content that has contaminating or destructive characteristics. You are responsible for implementing procedures and controls regarding viruses (including anti-virus and other security controls) to meet your particular security needs and the reliability of incoming and outgoing data.

3. From time to time, MOOD GLOBAL SERVICES B.V. may limit access to certain features or portions of the Site to Users who have registered with MOOD GLOBAL SERVICES B.V.. If the User has chosen, or is otherwise provided with, a user identification code, password, or any other information as part of MOOD GLOBAL SERVICES B.V. security procedures, the User shall treat such information as confidential and shall not disclose it to third parties. MOOD GLOBAL SERVICES B.V. has the right to disable at its own discretion any user identification code or password, whether chosen by the User or assigned by MOOD GLOBAL SERVICES B.V., at any time, if the User has violated the Conditions of Use.

4. Access Credentials and Security

Where MOOD GLOBAL SERVICES B.V. is granted access by the User to external platforms or accounts (including, without limitation, social media accounts, CRM systems, advertising platforms and collaboration tools) for the purpose of providing its services, the User shall: (i) provide accurate and up‑to‑date access credentials; (ii) implement appropriate security measures, including, where applicable, multi‑factor authentication; and (iii) promptly inform MOOD GLOBAL SERVICES B.V. of any suspected unauthorized access or security incident.

MOOD GLOBAL SERVICES B.V. shall use such access credentials solely for the purpose of providing the agreed services and shall take reasonable technical and organizational measures to protect them. To the maximum extent permitted by law, MOOD GLOBAL SERVICES B.V. shall not be liable for any unauthorized access, data breach or loss resulting from the User’s negligence or failure to adequately protect and manage its credentials and access rights.

3. Correctness of information

1. MOOD GLOBAL SERVICES B.V. shall make every reasonable effort to ensure that the information on the Site is correct, but comments and any other material published on the Site are not published as information to be relied upon. MOOD GLOBAL SERVICES B.V. does not guarantee that all information is correct, complete and up-to-date and, to the fullest extent permitted by law, MOOD GLOBAL SERVICES B.V. shall not be liable for any injury or damage resulting from reliance placed on such information by the User or by third parties to whom such information has been forwarded by the User.

2. Should the User find inaccurate information on the Site, he/she is requested to inform MOOD GLOBAL SERVICES B.V. which, if it agrees with the finding, will attempt to correct it as soon as possible.

4. Intellectual Property rights

1. All contents on this Site, including but not limited to texts, softwares, photographs, videos and images, are protected by copyright. MOOD GLOBAL SERVICES B.V., or its licensors, are the owners of the copyright and/or database rights for the selection, coordination, organization and exploitation of these contents, as well as the original content. All trademarks, service marks and logos are owned or registered by MOOD GLOBAL SERVICES B.V.. Other product names or brands are the property of their respective owners. With the exception of what is expressly indicated in the Conditions of Use, the User shall have no right to intellectual property rights in the ownership of MOOD GLOBAL SERVICES B.V. or its licensors. The User shall not assert or attempt to obtain such intellectual property rights and shall not use, copy, reproduce, modify, publish, transmit, participate in the transfer or sale, create derivative works from, or in any way exploit the name of MOOD GLOBAL SERVICES B.V., the trademarks, service marks, logo or other marks owned by MOOD GLOBAL SERVICES B.V. or any other content of this Site, either in whole or in part, except as provided for in the Conditions of Use.

2. Users may download information from the Site for their own personal use and in any case not for commercial purposes. Unless otherwise provided for by copyright laws, no copying, redistribution, transmission, publication or commercial exploitation of downloaded content will be permitted without the express consent of MOOD GLOBAL SERVICES B.V. as well as that of the copyright holder of the relative intellectual property rights. In the case of authorized copying, redistribution or publication of copyrighted material, no modification or cancellation of author attribution, trademark commercial communication legend or copyright shall be made. You acknowledge that you do not acquire any intellectual property rights by downloading copyrighted content.

3. The rights granted to the User under the Terms of Use shall immediately terminate upon the occurrence of any breach of the Terms of Use.

6. Responsibilities of MOOD GLOBAL SERVICES B.V.

1. To the maximum extent that such responsibility may be excluded by law, MOOD GLOBAL SERVICES B.V. assumes no responsibility and offers no guarantee in relation to the Site, its contents or the contents of any other site.

2. The User acknowledges and agrees that MOOD GLOBAL SERVICES B.V. may use AI Tools, Autopublishing Services and other forms of automation to support the operation of the Site and the provision of products and services, including, without limitation, content scheduling and publishing, data processing, CRM updates and performance analysis.

The User remains solely responsible for: (i) the lawfulness, accuracy and compliance of any content, data or instructions provided to MOOD GLOBAL SERVICES B.V.; (ii) the review and approval, where applicable, of any content published or scheduled through Autopublishing Services on the User’s channels; and (iii) compliance with sector‑specific rules and advertising regulations applicable to its activity (including, for example, in the medical, financial or other regulated sectors).

To the maximum extent permitted by law, MOOD GLOBAL SERVICES B.V. shall not be liable for any damages, losses or sanctions arising from: (a) content that is unlawful, misleading, inaccurate or non‑compliant with applicable law or platform policies and that has been provided, approved or not properly verified by the User; (b) malfunctions, suspensions, account bans, changes in algorithms or policies, or any other event attributable to Third‑Party Services or social media platforms; and (c) any limitations, inaccuracies or errors in outputs generated by AI Tools, provided that MOOD GLOBAL SERVICES B.V. has used such tools with reasonable care and in good faith

Within the limits of what is provided for by law, MOOD GLOBAL SERVICES B.V. is not responsible for any direct or indirect damage of any kind. MOOD GLOBAL SERVICES B.V. accepts responsibility for death or personal injury caused by its own negligence, for fraudulent statements and for any other responsibilities that cannot, according to Italian law, be excluded.

7. AI Act Compliance and Transparency (Reg. UE 2024/1689)

The AI Tools (including Gemini/Claude models in SiteLab) are classified as non high-risk under the AI Act. Mood Global Services B.V. adopts a risk management system, data governance, technical documentation, and cybersecurity measures.

Transparency: The Platform clearly indicates when the User interacts with AI or receives AI-generated/modified content (labels, notices). AI outputs may contain errors, bias, or inaccuracies; the User must verify/approve before publication/use.

Deployer/User obligations: The User (deployer) monitors AI uses and reports systemic incidents. No prohibited practices (subliminal techniques, real-time biometric ID in public spaces). Human oversight required for decisions with significant effects.

AI records available on request; authorities notified for serious incidents. Fines up to €35M or 7% of global turnover.

8. Compensation

The User agrees to indemnify and hold harmless MOOD GLOBAL SERVICES B.V., its suppliers and their affiliates and related entities and their respective directors, officers, employees, and agents from and against any and all claims, losses, damages, liabilities, and costs (including, without limitation and to the extent reasonable, attorneys’ fees and court costs), arising out of or relating to the User’s breach of the Terms of Use or access to or use of MOOD GLOBAL SERVICES B.V. services. The foregoing indemnification obligation shall survive the termination of the Terms of Use as well as the termination of the operation of the services of MOOD GLOBAL SERVICES B.V. or of any product or service provided by MOOD GLOBAL SERVICES B.V..

9. User-Supplied Content

User retains all IP rights on supplied content (texts, data, AI prompts). Upon upload/use of Services, grants non-exclusive license limited to Service delivery (hosting, processing, backup), revocable upon termination.

No use for AI training: User personal data/content not used for model training/fine-tuning without explicit, revocable opt-in. Anonymized aggregates permitted for generic improvements (GDPR LIA).

Mood Global Services B.V. does not assume confidentiality; User responsible for third-party rights in content. No derivative works beyond service delivery. Data Act: standard format portability available on request.

User indemnifies for unlawful/infringing content.

10. Regulatory Compliance Disclaimer (MiCAR/MiFID II)

Blockchain/Smart Contract/tokenization services do not constitute financial advice/investment services (MiFID II). Not registered as CASP/VASP under MiCAR (Reg. EU 2023/1114). User verifies local compliance for crypto-assets.

Risks: Token/NFT volatility, smart contract bugs, regulatory changes. No guarantees on value/performance. User eligibility required (non-US persons if restricted, KYC/AML compliant).

MiCAR whitepaper/disclosures provided where applicable; User responsible for tax/reporting. No liability for losses from misuse/regulatory changes.

11. Withdrawal

1. The Conditions of Use are effective until withdrawn by MOOD GLOBAL SERVICES B.V.. MOOD GLOBAL SERVICES B.V. may withdraw from the Conditions of Use at any time without prior notice, even partially with reference to only one of the services offered by MOOD GLOBAL SERVICES B.V.. In the event of withdrawal, the User shall no longer be authorized to access the services of MOOD GLOBAL SERVICES B.V., and the rights and obligations of Users relative to the contents, waivers, indemnities, and limitations of responsibility established in the Conditions of Use shall survive the cessation of the effects of the Conditions of Use.

2. MOOD GLOBAL SERVICES B.V. also has the right, without prior notice and at any time, to interrupt some or all of the MOOD GLOBAL SERVICES B.V. services or part of them or products or services offered through them, or to prevent anyone from accessing or using the MOOD GLOBAL SERVICES B.V. services or part of them.

12. Compliance with the law

The user agrees to comply with all the laws, statutes, ordinances and regulations relating to the use of MOOD GLOBAL SERVICES B.V. services. You must be at least 18 years old to use MOOD GLOBAL SERVICES B.V. services

13. Data Act Compliance (Reg. UE 2023/2854) – Fair Contract Terms

Clauses subject to Data Act (B2B data access/use): no unfair terms (Art. 13). Blacklist avoided (no exclusive interpretation, no liability exclusion for gross negligence). Greylist balanced (proportional liability, non-detrimental data use).

Switching/portability: Upon termination, data export in standard machine-readable formats (no lock-in, no undue fees). Reasonable technical assistance (separate agreed fee). Maximum 2 months notice pre-renewal.

Terms modifications: 30 days notice for material changes; opt-out without penalty if impacting data rights.

14. Miscellaneous

1. Should any part of the Terms of Use be unenforceable, all other parts shall remain valid and enforceable between the parties.

2. The Conditions of Use are subject to the law of the Netherlands Republic and any dispute relating to the same and to the Site shall be subject to Netherlands jurisdiction.

3. MOOD GLOBAL SERVICES B.V. is a company with registered office in Amsterdam at Beukenweg street n° 4 registered in the Dutch Company Register n° 85502081 VAT number NL86364487. All formal communications must be sent to MOOD GLOBAL SERVICES B.V. at the following email address info@moodglobalservices.com.

4. Failure by MOOD GLOBAL SERVICES B.V. to exercise one of its rights does not imply waiver thereof.

15. How to contact MOOD GLOBAL SERVICES B.V.

Should problems occur with the Site or should the User wish to comment on the Site, the User should not hesitate to contact MOOD GLOBAL SERVICES B.V. by writing to MOOD GLOBAL SERVICES B.V. at the following address: MOOD GLOBAL SERVICES B.V., Head Office, Amsterdam at Beukenweg street n° 4 or via email to the following address: info@moodglobalservices.com.

16. Data Protection and Use of AI Tools

1. MOOD GLOBAL SERVICES B.V. shall process personal data in accordance with applicable data protection laws, including, where applicable, Regulation (EU) 2016/679 (ā€œGDPRā€), as further described in its Privacy Policy. In the context of providing its services, MOOD GLOBAL SERVICES B.V. may process personal data using AI Tools and Third‑Party Services, including cloud‑based infrastructures, subject to appropriate safeguards.

2. Where MOOD GLOBAL SERVICES B.V. processes personal data on behalf of the User acting as a data controller, MOOD GLOBAL SERVICES B.V. shall act as a data processor and shall: (i) process personal data only on documented instructions from the User; (ii) implement appropriate technical and organizational security measures; and (iii) assist the User, where reasonably possible, in fulfilling its obligations towards data subjects and supervisory authorities. Specific details of such processing may be governed by a separate data processing agreement, where required by law.

3. The User represents and warrants that any personal data provided or made accessible to MOOD GLOBAL SERVICES B.V. has been collected and is processed lawfully, that data subjects have been adequately informed about the use of AI Tools and Third‑Party Services where required, and that the User has an appropriate legal basis for such processing and for any instructions given to MOOD GLOBAL SERVICES B.V.. The User shall indemnify and hold harmless MOOD GLOBAL SERVICES B.V. from any claim, fine or damage arising from the User’s failure to comply with applicable data protection laws.

4. DPA details: Sub-processor list (Google, Vercel, Zapier, AI providers) in DPA; motivated veto within 30 days. Annual audit rights (reasonable costs). Breach notification to controller within 48 hours.

5. AI specific: No training on User data without consent; ephemeral processing only. Transparency obligations for synthetic/AI-generated content.
